1. Acceptance of Terms

By accessing or using Provisio ("Service"), you agree to be bound by these Terms of Service ("Terms"). If you disagree with any part of these Terms, you may not access our Service. These Terms constitute a legally binding agreement between you and Provisio.

2. Description of Service

Provisio provides AI-powered document analysis, obligation tracking, and deadline monitoring services. We use artificial intelligence to analyze your documents and extract key dates, terms, and obligations to help you stay organized and informed. The Service is designed to assist with document management and is not a substitute for professional legal, financial, tax, or other expert advice.

3. No Professional Advice

PROVISIO DOES NOT PROVIDE LEGAL, FINANCIAL, TAX, OR OTHER PROFESSIONAL ADVICE.

The information provided by our Service is for general informational purposes only. AI-generated analysis may contain errors, omissions, or inaccuracies. You should not rely solely on the Service for important decisions. Always consult qualified professionals (attorneys, accountants, financial advisors) for advice specific to your situation. You are solely responsible for verifying all information extracted by the Service and for any actions you take or fail to take based on such information.

4. User Responsibilities

You must provide accurate and complete account information
You are responsible for maintaining the confidentiality and security of your account credentials
You may only upload documents that you own or have the legal right to analyze
You must comply with all applicable laws and regulations
You may not use the Service for any illegal purpose or to process documents containing illegal content
You are responsible for independently verifying all deadlines, obligations, and other information extracted by the Service

5. Acceptable Use Policy

You agree not to use the Service to:

Upload documents containing malware, viruses, or harmful code
Process documents you do not have the right to access or analyze
Attempt to reverse engineer, decompile, or extract our AI models
Circumvent any security measures or access controls
Interfere with or disrupt the Service or servers
Use automated means to access the Service beyond normal usage
Resell, redistribute, or commercialize the Service without authorization

6. Document Ownership and Data

You retain all ownership rights to documents you upload. Provisio does not claim any ownership over your content. We process your documents solely to provide the Service to you.

By uploading documents, you grant Provisio a limited, non-exclusive license to process, analyze, and store your documents as necessary to provide the Service. This license terminates when you delete your documents or account. For details on how we handle your data, please review our Privacy Policy.

7. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED.

Provisio expressly disclaims all warranties, including but not limited to implied warranties of merchantability, fitness for a particular purpose, accuracy, completeness, and non-infringement.

We do not warrant that: (a) the Service will meet your requirements; (b) the Service will be uninterrupted, timely, secure, or error-free; (c) AI-generated analysis will be accurate, complete, or reliable; (d) any errors in the Service will be corrected; or (e) the Service will detect all relevant terms, dates, or obligations in your documents.

8. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, PROVISIO SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES.

This includes, without limitation, damages for: missed deadlines or obligations; lost profits, revenue, or business opportunities; loss of data; business interruption; or any other intangible losses arising from your use of or inability to use the Service, even if Provisio has been advised of the possibility of such damages.

In no event shall Provisio's total liability to you exceed the greater of: (a) the amounts paid by you to Provisio in the twelve (12) months preceding the claim; or (b) one hundred dollars ($100). This limitation applies regardless of the form of action, whether in contract, tort, strict liability, or otherwise.

9. Indemnification

You agree to indemnify, defend, and hold harmless Provisio and its officers, directors, employees, agents, and affiliates from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising from: (a) your use of the Service; (b) your violation of these Terms; (c) your violation of any rights of another party, including intellectual property rights; or (d) documents you upload to the Service.

10. Service Availability and Modifications

We strive to maintain high availability but cannot guarantee uninterrupted service. The Service may be temporarily unavailable due to maintenance, updates, or circumstances beyond our control.

Provisio reserves the right to modify, suspend, or discontinue any part of the Service at any time, with or without notice. We will make reasonable efforts to provide advance notice of material changes. Provisio shall not be liable to you or any third party for any modification, suspension, or discontinuation of the Service.

11. Termination

Either party may terminate this agreement at any time. You may terminate by closing your account. Provisio may terminate or suspend your access immediately, without prior notice, for any reason, including breach of these Terms.

Upon termination: (a) your right to use the Service will immediately cease; (b) you may request deletion of your data in accordance with our Privacy Policy; (c) any provisions of these Terms that by their nature should survive termination shall survive, including warranty disclaimers, limitation of liability, and indemnification.

12. Dispute Resolution

Any dispute arising from these Terms or your use of the Service shall first be attempted to be resolved through good-faith negotiation. If the dispute cannot be resolved within thirty (30) days, either party may pursue binding arbitration or file a claim in small claims court.

You agree that any arbitration or legal proceeding shall be conducted on an individual basis and not as a class action. You waive any right to participate in a class action lawsuit or class-wide arbitration against Provisio.

13. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the Province of Ontario, Canada, without regard to its conflict of law provisions. Any legal action or proceeding arising under these Terms shall be brought exclusively in the courts located in Ontario, Canada.

14. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify you of material changes by posting the updated Terms on this page and updating the "Last updated" date. For significant changes, we may also notify you via email or through the Service. Your continued use of the Service after changes become effective constitutes acceptance of the revised Terms. If you do not agree to the new Terms, you must stop using the Service.

15. General Provisions

Entire Agreement: These Terms constitute the entire agreement between you and Provisio regarding the Service.
Severability: If any provision is found unenforceable, the remaining provisions shall continue in effect.
Waiver: Failure to enforce any provision shall not constitute a waiver of that provision.
Assignment: You may not assign these Terms without our consent. Provisio may assign these Terms without restriction.
